Establishing a company is a journey with several stops along the way. Before the company is approved and registered, you must be granted an organization number by the Swedish Companies Registration Office, which can take a couple of weeks. In order to shorten the process, there are shelf companies available.
A shelf company is a limited liability company (Swedish: “Aktiebolag”) that is already registered, complete with an organization number and has not yet been used to conduct any business. The company has been established with the sole purpose of being sold to a new owner – it has been "kept on a shelf" for the new owner to buy.
Buying a shelf company is a convenient and time-efficient way for those who want to start their own business. Since several steps have already been completed, you can avoid a lot of the waiting time and administration that is necessary when starting a company by yourself.
Shelf companies are always limited liability companies, which are the most common companies in Sweden. A limited liability company is a legal entity, which means that the company can own assets, incur debts, and enter into contracts.
